Terms of Service

1. Acceptance of Terms

By accessing, registering, or using the FFP Radio Distribution platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and FFP Radio Distribution ("we," "us," or "our"), a South African company.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Have the legal capacity to enter into binding contracts.
• Own or control all rights to the musical content you submit for distribution.
• Be a resident of South Africa or have authorised representation within South Africa.
• Provide accurate, current, and complete information during registration.

3. Services Provided

FFP Radio Distribution provides digital music distribution services, including but not limited to:

• Uploading and distributing musical content to digital service providers (DSPs) and streaming platforms.
• Royalty collection and reporting in South African Rand (ZAR).
• Playlist pitching and promotional services.
• Analytics and performance tracking.
• Content protection and rights management support.

4. Fees and Payments

All fees are quoted in South African Rand (ZAR) and are subject to applicable taxes, including VAT where required by law.

• Distribution Fees: As specified in your selected pricing plan.
• Commission: We retain a commission on royalties earned, as per your agreement.
• Payouts: Minimum payout threshold is R500. Payouts are processed monthly to verified bank accounts.
• Refunds: Distribution fees are non-refundable once content has been submitted to DSPs.

5. Content Submission and Ownership

You retain full ownership of all intellectual property rights in your musical content. By submitting content to the Platform, you grant us a limited, non-exclusive licence to:

• Reproduce, encode, and transmit your content to DSPs.
• Use your artist name, images, and biographical information for promotional purposes.
• Collect and distribute royalties on your behalf.

You warrant that:

• You own or control all necessary rights to the content submitted.
• The content does not infringe any third-party rights, including copyright, trademark, or personality rights.
• The content does not contain defamatory, obscene, or illegal material.
• You have obtained all necessary licences for samples, covers, or interpolations.

6. Prohibited Content

The following content is strictly prohibited on the Platform:

• Content that promotes hate speech, violence, or discrimination.
• Content that infringes copyright, trademark, or other intellectual property rights.
• Content containing explicit sexual content involving minors.
• Content that violates any applicable South African law or regulation.
• AI-generated content presented as human-created without disclosure.
• Content used to manipulate streaming numbers or chart positions.

We reserve the right to remove any content that violates these prohibitions and terminate the offending account without notice.

7. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Use strong, unique passwords and enable two-factor authentication where available.
• Notify us immediately of any unauthorised access or security breach.
• Not share your account credentials with any third party.

We are not liable for any loss or damage arising from your failure to comply with these security obligations.

8. Termination

By You: You may terminate your account at any time by providing 30 days' written notice. Any pending royalties will be paid out according to the minimum payout threshold.

By Us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or submit prohibited content.

Upon termination, we will remove your content from DSPs within a reasonable timeframe, subject to platform-specific removal policies.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa.

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to mediation in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).

If mediation fails, the dispute shall be finally resolved by arbitration in Johannesburg, South Africa, conducted in English.
